In May 2016 FINRA sanctioned Mark Beloyan following allegations “that his member firm, while acting through him as its President, Chief Operating Officer, and owner, recommended penny stocks and engaged in penny stock transactions without complying with the requirements for penny stock transactions enumerated under Section 15(h) and Rule 15g-9 of the Securities Exchange Act of 1934.” According to FINRA’s complaint, Mr. Beloyan “sent customers a Customer Suitability Statement for their review and signature without first documenting an affirmative determination of suitability on the document.” He also allegedly falsified documents, and his firm, according to FINRA’s complaint, “created and maintained incorrectly prepared Customer Suitability Statements and created and incorrectly prepared Agreement to Purchase forms for customers.” Mr. Beloyan was issued a ten-day suspension from acting in any capacity and a 50-day suspension from acting in a principal capacity.
